End User License Agreement

1. Introduction

1.1 Agreement

This End User License Agreement ("EULA" or "Agreement") is a legally binding contract between you ("User," "you," or "your") and NexusRMS Limited ("NexusRMS," "Company," "we," "us," or "our"), a company registered in England and Wales (Company No. 16170889).

1.2 Acceptance

By accessing or using the NexusRMS platform ("Software" or "Service"), you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, do not access or use the Software.

1.3 Authority

If you are accepting this EULA on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.

2. Definitions

• "Authorized User" means any individual granted access to the Software by the Customer
• "Customer" means the entity or individual that has subscribed to the Software
• "Customer Data" means all data uploaded, stored, or transmitted through the Software
• "Documentation" means user guides, help articles, and API documentation
• "Software" means the NexusRMS cloud-based rental management platform
• "Subscription Term" means the period during which the Customer has paid access

3. License Grant

3.1 Grant of License

Subject to the terms of this Agreement and payment of applicable fees, NexusRMS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the Subscription Term.

3.2 Scope of License

This license permits you to:

• Access the Software via web browser on any device connected to the internet
• Use the mobile applications on iOS and Android devices
• Integrate via API subject to rate limits and API documentation
• Create user accounts for Authorized Users within your subscription limits
• Process Customer Data for your legitimate business purposes

3.3 SaaS Model

The Software is provided as Software-as-a-Service (SaaS). You acknowledge that:

• You do not receive a copy of the Software's source code
• The Software is hosted on NexusRMS infrastructure
• Access requires an internet connection
• We may update or modify the Software at any time

4. License Restrictions

4.1 Prohibited Activities

You shall NOT:

• Copy, reproduce, or duplicate the Software or any part thereof
• Modify, translate, adapt, or create derivative works based on the Software
• Reverse engineer, disassemble, decompile, or attempt to derive source code
• Circumvent, disable, or interfere with security features or access controls
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Sell, rent, lease, lend, sublicense, or transfer your rights
• Use the Software to develop a competing product or service
• Conduct performance benchmarking without prior written consent
• Use the Software for any illegal, unauthorized, or unethical purpose

4.2 Technical Restrictions

You shall NOT:

• Access the Software through automated means (bots, scrapers) except via authorized API
• Place unreasonable load on infrastructure or intentionally disrupt service
• Conduct security testing without prior written authorization
• Extract or harvest data through data mining techniques
• Attempt to bypass rate limits, storage quotas, or user limits

5. User Types and Access Levels

5.1 Power Users (Licensed)

5.2 Sub-Users (Free, Unlimited)

Sub-Users have limited access and do not count toward license limits:

• Project Manager - Project and scheduling access
• Warehouse Staff - Warehouse operations access
• Technician - Field and maintenance access
• Viewer - Read-only access

6. Subscription and Fees

6.1 Pricing Model

The Software uses an à la carte pricing model:

• Base Subscription: £49/month ex. VAT (includes 1 CoreAdmin seat, all core features)
• Additional CoreAdmin: £50/month ex. VAT per user
• CoreManager: £30/month ex. VAT per user
• Sub-Users: FREE (unlimited)
• Optional Addons: £29-£99/month ex. VAT per module

6.2 Payment Terms

• Subscriptions are billed monthly in advance
• All fees are exclusive of VAT and applicable taxes
• Payments are processed securely via Stripe
• Late payments may result in service suspension

6.3 Free Trial

New accounts receive a 14-day free trial. After conversion to a paid subscription, fees are non-refundable except where required by law.

7. Intellectual Property

7.1 NexusRMS Ownership

NexusRMS and its licensors retain all right, title, and interest in:

• The NexusRMS platform, including all code, algorithms, and technology
• All user guides, manuals, and technical documentation
• The NexusRMS name, logo, and brand assets
• All improvements, modifications, and derivative works of the Software

7.2 Customer Ownership

You retain all right, title, and interest in:

• All data you upload, create, or store in the Software
• Documents, images, and other content you create
• Your company name, logo, and brand assets

8. User Data and Privacy

8.1 Data Roles

• You are the Data Controller for Customer Data (your clients, employees, equipment data)
• We are the Data Processor processing Customer Data on your behalf

Our obligations as Data Processor are defined in our Data Processing Agreement.

8.2 Data Security

We implement appropriate technical and organizational measures to protect Customer Data, including:

• Encryption in transit (TLS 1.3) and at rest (AES-256)
• Access controls and authentication
• Regular security audits and penetration testing
• 24/7 monitoring and incident response

8.3 Data Retention

• Customer Data is retained during your subscription
• After termination, data is retained for 30 days (60 days for Enterprise) for retrieval
• After the retention period, data is permanently deleted

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUSRMS DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY: The implied warranty that the Software is fit for commercial sale
• FITNESS FOR PURPOSE: The implied warranty that the Software is suitable for your particular purpose
• NON-INFRINGEMENT: The warranty that the Software does not infringe third-party rights
• AVAILABILITY: The warranty that the Software will be available without interruption

If you are a consumer in the UK or EU, statutory consumer protection rights may apply that cannot be excluded.

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUSRMS'S TOTAL LIABILITY SHALL NOT EXCEED the greater of £100 or the fees paid in the 12 months preceding the claim.

10.2 Exclusion of Damages

NEXUSRMS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or data reconstruction costs
• Business interruption or downtime costs
• Claims by your customers, clients, or third parties

10.3 Exceptions

These limitations do NOT apply to death or personal injury caused by negligence, fraud, breach of confidentiality obligations, or liabilities that cannot be limited under applicable law.

11. Term and Termination

11.1 Termination by You

You may terminate your subscription at any time by:

• Cancelling through your account settings
• Emailing [email protected]
• Providing written notice

Termination takes effect at the end of the current billing period.

11.2 Termination by NexusRMS

• For Cause: Immediately upon breach of this Agreement
• For Non-Payment: After 14 days' notice of overdue payment
• For Illegal Activity: Immediately upon suspected illegal use
• For Security Concerns: Immediately if your use threatens the Service or other users
• For Policy Violations: Immediately upon violation of our Acceptable Use Policy
• For Suspected Fraud: Immediately upon suspected fraudulent or abusive activity
• For Convenience: With 90 days' notice (refund of prepaid fees applies)
• For Any Other Reason: At our sole discretion

Upon termination for cause, you will not be entitled to any refund of fees paid, and any outstanding fees will become immediately due and payable.

11.3 Effect of Termination

Upon termination:

• Your license to use the Software terminates immediately
• You must cease all use of the Software
• Your access to Customer Data continues for 30 days (60 days for Enterprise)
• After the retention period, Customer Data is permanently deleted

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales. Subject to dispute resolution procedures, the courts of England and Wales have exclusive jurisdiction.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to:

• Contact [email protected] with a description of the dispute
• Allow 30 days for good-faith negotiation

13.2 Mediation and Litigation

If informal resolution fails, disputes shall be submitted to mediation under CEDR rules before litigation in the courts of England and Wales.

14. General Provisions

• Entire Agreement: This Agreement constitutes the entire agreement and supersedes all prior agreements
• Amendments: We may amend this Agreement with 30 days' notice; continued use constitutes acceptance
• Assignment: You may not assign without our consent; we may assign in connection with merger/acquisition
• Severability: If any provision is unenforceable, the remaining provisions remain in effect
• Force Majeure: Neither party is liable for delays due to causes beyond reasonable control

1. You have read and understood this End User License Agreement
2. You agree to be legally bound by all terms and conditions
3. You have the authority to enter into this Agreement
4. You understand that this is a legally binding contract
